Mayer Brown announced that Corporate & Securities counsel Kimiko Takeda Fields (New York) has co-authored a Japanese book, Practical Q&As on US Corporate Law – Incorporating and Operating a Business under the Delaware General Corporation Law (米国会社法の実務Q&A―デラウェア州会社法に基づく設立・運営), a primer on the Delaware General Corporation Law (DGCL). Ms. Fields is the lead author of the book.

The book, written in Japanese and published by Chuokeizai-sha, Inc., provides general and practical guidance for Japanese practitioners, in-house counsels and business people on the basics of the DGCL and what it entails to incorporate, manage and maintain a Delaware corporation. Joining Ms. Fields as co-authors are Yuki Sagawa, in-house counsel at Panasonic Corporation; Masaki Fujita, an associate at Anderson Mori & Tomotsune; and Kentaro Tanaka, an associate at TMI Associates.

The book’s contents include:

• Why the DGCL is accepted as the gold standard in the US corporate law;
• An overview of the legal and practical issues that should be considered when doing business in the US;
• The full life span of a corporation from incorporation to dissolution;
• Applicable provisions of the DGCL; and
• Sample documents in English, with Japanese translations.

With over 20 years of legal experience, Ms. Fields advises Japanese corporations and their US subsidiaries on general corporate issues, cross-border transactions, banking and investment management regulatory matters and disputes in the US. Her practice also includes counseling Japanese corporations doing business in the United States on other issues affecting their US operations, such as employment and immigration matters. A native Japanese speaker, Ms. Fields helps clients navigate through the challenges of doing business in the United States, which are compounded by legal and cultural differences between Japan and the US.
