Mayer Brown advises Nestlé in agreement for perpetual license with Starbucks

8 May 2018

Mayer Brown announced today that it advised Nestlé S.A. on its $7.15 billion acquisition from Starbucks Corporation of the global marketing, sale and distribution rights for Starbucks, Starbucks Reserve, Teavana, Seattle’s Best Coffee, VIA and Torrefazione Italia-branded products in the consumer packaged goods and foodservice channels. The transaction aligns with Nestlé’s stated objective of focusing on coffee as a key strategic core competency.

This representation follows the firm’s representation of Nestlé in connection with two additional strategic transaction in 2018 – the sale of Nestlé’s U.S. Confectionery division to Ferrero International for $2.8 billion and the purchase of vitamin and supplements company, Atrium Innovations, for $2.3 billion from a group of investors led by private equity firm Permira.

The Mayer Brown team included Corporate & Securities partners David Carpenter and John Boelter (both New York), Intellectual Property partner Richard Assmus (Chicago), Litigation & Dispute Resolution partners Mark Ryan and Adam Hudes and counsel Meytal McCoy (all Washington DC); and Tax Transactions & Consulting partner James Barry (Chicago).
