The Jumpstart Our Business Startups Act makes significant changes to the capital formation, disclosure and registration requirements applicable to many companies. Among other things, the Act creates a new class of public company, increases the holders of record thresholds that trigger registration and reporting requirements, and amends the Securities Act of 1933 to facilitate private placement of securities. We review the Act and offer practical considerations for the companies and potential investors.
