Experience 
Kevin assists clients with taxations of all types of corporate and finance transactions. In particular, his work has focused on the following areas:

  • Foreign Direct Investment: Kevin has assisted multiple foreign investors design, establish and operate tax-efficient holding and operating structures for their China investments. Kevin has extensive experience in foreign investment in TMT, Automobile, Real Estate, Distribution and Financial Services Industries.
  • Mergers and Acquisitions: Kevin has advised foreign strategic buyers, private equity houses and venture capitalists on China tax aspects of mergers and acquisitions and joint ventures, from due diligence, through tax-advantaged acquisition deal structures and post-acquisition tax integrations, to exit strategies. deal structures, and ultimately exit strategies. He also represent buyers and sellers for negotiating financial and tax terms in various transactions.
  • Finance: Kevin is a pioneer on China tax of innovative financial transactions, working closely with corporate lawyers on tax aspects of acquisition finance, project finance, structured finance, and leasing transactions. He has advised two landmark transactions in China’s financial industry, the first foreign investment project in China’s Non-performing Loan (NPL) market, and one of the first pilot asset securitization projects in China.
  • Outbound Investment and IPOs: Kevin assisted several leading Chinese domestic companies with their outbound investment and/or pre-listing financing and restructurings.
  • Tax Operations: Kevin has also helped clients on managing their local operational issues and solving taxation matters, including value-added tax, customs duties, business tax, income tax and withholding tax. Mr. Wang’s comprehensive working experience and knowledge enables him to combine regulatory, tax, customs and foreign exchange considerations to create practical solutions for achieving clients’ business objectives, specifically regarding tax-efficient supply chain management models for China-related business.
  • Individual Taxation: Kevin assisted both multinational companies and domestic enterprises design and implement tax-driven employee incentive schemes, including employee share options plans and other individual tax matters.

PE/VC Financing and Investment & Fund Formation

  • CTV Golden Bridge
    • Advised CTV Golden Bridge (SinoMedia) on the US30 million Series-A preferred shares financing from Bain Capital and advised on the accounting and tax aspects of the USD 62 million listing on Hong Kong Stock Exchange (00623.HK).
  • Shengli Oilfield Highland Petroleum Co Ltd
    • Advised the Company on the HK56.8 million bridge loan from BNP Paribas and US10 million bridge loan from Actis Capital, and advised on the conversion of the Actis loan to preferred shares.
  • Sycamore Ventures
    • Advised Sycamore Ventures on the tax structure for the proposed formation of China Greenstar Resource Utilization Investment Fund, an USD 1 billion fund focused on China's environmental sector.
Mergers & Acquisitions, Joint Ventures
  • Terex Corporation
    • Advised on the acquisition of a 50 percent interest (with an option to buy the rest when regulations permit) in an engineering crane company in west China
  • SPX
    • Represented SPX on the acquisition of Kingtec for around RMB 30 million, including performing due diligence, advising deal structures, negotiating purchase price adjustment due to different deal structuring preferences between buyer and vendors.
    • Represented SPX on the joint venture with Baoding Tianwei Group Co. Ltd, with a 16.7% interest in the USD 99 million total investments, advising the financing and tax aspects of the deal.
  • DHL
    • Advised DHL Express on tax aspects of its investment in the new $175 million North Asia Hub facility located at the Shanghai Pudong International Airport.
    • Advised on its proposed acquisition of a major Chinese player in the same industry, designing the deal structure and advising on regulatory and tax issues.
  • Fujitsu
    • Advised tax and corporate aspects for the PRC restructure of the PRC subsidiaries, including transfer of certain subsidiaries (including listed shares of a joint stock company with over RMB 4 billion market cap) from its Chinese Holding Company to an Hong Kong holding company to facilitate its global spin-off of a business segment.
  • CRH plc
    • Represented CRH plc (Ireland's biggest company, is listed in Dublin and London) on its acquisition of, for more than RMB 2.1 billion, 26% (with an option to acquire an additional 23%) of the cement operations of Shanghai-listed Jilin Yatai (600881.SH), advising the structure of the acquisition and the reorganization of the target.
    • Advised on the acquisition of Harbin Sanling, a modern plant with two clinker production lines and total cement capacity of 650,000 tonnes per annum, assisted in the closing of the deal prior to the promulgation of the new tax law, enabling it entitled to the transitional tax incentives.
  • Jaguar Acquisition Corporation
    • Represented Jaguar, a blank check company, for its Agreement and Plan of Merger with China Cablecom, a SPV entitled to a 60% economic interest of Binzhou Broadcast and Television Information Network Co., Ltd, an operating cable TV joint venture with a local state-owned enterprise (“SOE”) owned by Binzhou branches of SARFT, advising on the accounting consolidation of the 60 percent of the financial results of operations and cash flows of Binzhou Broadcasting and regulatory restrictions of foreign investment.

  • GGP Group
    • Represented GGP Group on the establishment of a WFOE with USD 25 million of total investment for producing garden products, including negotiation of land purchase price, tax incentives and financial subsidies; preparation of establishment documents.
  • Key Safety Systems Inc
    • Represented Key Safety Systems Inc on the establishment of a WFOE with USD 25 million of total investment for producing automotive safety products, including negotiation of land purchase price, tax incentives and financial subsidies; preparation of establishment documents, and application of the extension of payment of registered capital.
