On 19 December 2012 the Commission adopted the majority of the subordinate legislation necessary to implement Regulation (EU) No 648/2012 of the European Parliament and of the Council of 4 July 2012 on OTC derivatives, central counterparties and trade repositories (“EMIR”). The majority of that legislation is likely to become law in or around March 2013 and some risk mitigation requirements will apply at that point.

It appears that, although the first clearing obligation may not apply until the summer of 2014, the first reporting obligation may apply from 1 July 2013 and further risk mitigation obligations are likely to apply in or around September 2013. In addition, firms may need to make a number of notifications and applications for exemptions to the Financial Services Authority / Financial Conduct Authority in early 2013. At present, therefore, firms ought to be assessing whether they will be ready for EMIR to come into force. The quick start guide at page 4 sets out some of the things that firms should start to consider.

On 28 December 2012, the proposed changes on which we had reported were largely adopted by the NPC (the "Amendment"). The Amendment will become effective as of 1 July 2013. The NPC seeks, by means of the Amendment, to characterise the labour dispatch arrangement as an auxiliary mode to mainstream employment arrangements, and to limit the utilisation of labour dispatch arrangements to a defined reduced scope.

The Court of Final Appeal (CFA) has delivered its judgment in the important case of Kwan Siu Wa, Becky & Ors v. Cathay Pacific Airways Limited (26 September 2012). The decision potentially impacts numerous employers in Hong Kong. The CFA decided that where an employer provides more annual leave days than required under the Employment Ordinance and does not distinguish between statutory annual leave and any contractual excess leave, then the employer runs the risk of having to pay annual leave pay in accordance with the statutory rate of annual leave pay for all annual leave granted, including the contractual excess.

The CFA also clarified the formula for calculating statutory holiday pay and annual leave pay under the statutory regime that existed prior to the commencement of the Employment (Amendment) Ordinance in July 2007.

The recently published decision suggests misalignment between the parties and DG COMP on three issues: market definition; the relevance of efficiencies; and possible commitments. Given commentators report the parties having to pay breakdown costs exceeding $200 million, as well as the effect on the parties, understanding what were the misaligned issues, and why arose is important.
