Joe Castelluccio is a trusted advisor to clients at the intersection of three multi-trillion dollar macro trends:

Joe co-leads Mayer Brown’s Convergence Solutions Group, which structures and executes integrated solutions and growth transactions for insurance companies, asset managers and private capital investors. In doing so, Joe advises clients on a range of M&A, joint ventures, capital raising and corporate governance matters.

Selected Experience

• Represented Nippon Life Insurance Company, one of the largest Japanese life insurance companies in the Asia-Pacific region and globally, on its acquisition of Resolution Life, a global life and annuity insurance group. The transaction values Resolution Life at approximately $10.6 billion and is subject to regulatory approval.
• Represented Janus Henderson Group, a leading global asset manager, in an innovative strategic partnership with The Guardian Life Insurance Company of America, one of America’s largest life insurers, through which Janus Henderson will manage a $45 billion investment grade public fixed income portfolio for Guardian.
• Represented Kayne Anderson BDC, Inc. on its investment in SG Credit Partners, Inc., a national credit platform focused on the lower middle market.
• Represented one of the largest Japanese trading companies (sōgō shōsha) and one of Japan’s largest financial institutions in the sale of a jointly-owned transportation and infrastructure business for approximately $1.5 billion.
