Robert Flanigan is a partner in the Banking & Finance practice of Mayer Brown. He concentrates his practice on securities transactions and compliance, international corporate finance, mergers and acquisitions, and general corporate matters.
Robert represents issuers and underwriters in connection with SEC-registered and Rule 144A/Regulation S offerings and private placements of equity and debt securities, particularly in transactions involving French and Spanish issuers. His experience includes offerings of convertible debt and high-yield securities, as well as global initial public offerings, follow-on share offerings, rights offerings and spin-offs. He has also advised on offerings of mandatory redeemable bonds, convertible/exchangeable bonds and exchangeable notes. He has represented issuers in connection with medium term notes, trade receivables securitizations and credit facility negotiation.
Robert has advised private and public companies in M&A transactions in a variety of business sectors, including pharmaceuticals, real estate development and distribution.
He also represents foreign private issuers in connection with ongoing compliance with SEC and NYSE reporting obligations and advises clients regarding public disclosure obligations and corporate governance issues.
Robert joined Mayer Brown in 2008 and speaks French, Spanish and his native English.
