Experience
David Wiles represents banks and other financial institutions in a variety of complex financing transactions, primarily US and cross-border syndicated and leveraged finance transactions (ranging from investment grade, leveraged and middle market deals to highly leveraged acquisition financings), bridge loans, other commercial loans and credit facilities, as well as loan restructurings and workouts. In addition, David advises clients on bank regulatory matters involved in such financing transactions.
Prior to joining Mayer Brown in 2008, David was with the Bank of America Legal Department from 1995-2007. Most recently, he was a partner in the Charlotte office of a large, international firm. Notable Engagements Among his more recent transactions, he has handled the following engagements: - Representing the Agent bank in amending and restructuring a distressed $145 million syndicated credit facility for a housewares products company (2008-2009).
- Advising the Agent bank on funding and other issues involved in credit facilities for a major Las Vegas casino/retail/mixed use project (2008).
- Representing the Agent bank in a $350 million syndicated credit facility for an equipment/modular building rental company (2008).
- Representing the Agent bank in a $62.5 million acquisition financing of a healthcare/urgent care company by a private equity group (2008).
- Representing the Agent bank in “Borrower Term Loan Buyback” transactions (using discounted non-pro rata prepayments), for a manufacturing company under a $290 million credit facility (2008-2009).
