Experience 

Paul Theiss serves on Mayer Brown's Management Committee.  He joined Mayer Brown in 1985, where he practices corporate law focusing primarily on mergers and acquisitions and capital markets work. He is a firm practice leader for Mayer Brown’s worldwide Corporate & Securities group and is widely recognized as one of the nation’s leading corporate attorneys. Paul is also recognized in other leading publications including Leading Lawyers Network and IFLR. Paul’s experience includes:

Mergers and Acquisitions.
Counseling buyers, sellers, and financial intermediaries in connection with public and private acquisitions, joint ventures, divestitures, mergers, tender offers and proxy contests in the US and worldwide.

Capital Markets. Representing issuers and underwriters in connection with public and Rule 144A offerings of debt, equity, convertible and hybrid securities; and liability management transactions, including equity and debt self-tenders, exchange offers and consent solicitations.

General Corporate Practice. Advising companies regarding Securities Act and Exchange Act compliance, NYSE and NASDAQ compliance, corporate governance and Sarbanes-Oxley Act matters.

Industry Experience. Deep understanding and experience with a variety of industries including telecommunications, consumer products, metals recycling, packaging, gaming and hotels and lodging.
