| To serve the specialized needs of real estate investment funds in the region, our Latin American Real Estate team draws together lawyers from our real estate, tax, ERISA, corporate and financing groups, who have extensive experience in real estate transactions originating in Latin America.
Our experience in handling real estate transactions in Latin America ranges from the formation of real estate investment funds, to investments in real estate portfolio companies and public offerings by real estate companies, to joint ventures with local developers and operators.
- Chilean housing development. Represented The Prudential Insurance Company of America in connection with a programmatic joint venture for the acquisition and development of land for multi-housing development throughout Chile, for a potential total equity commitment of $1 billion.
- Corporate Properties of the Americas. We advised Equity International Properties, Ltd. in connection with its investment in Corporate Properties of the Americas, a developer and owner of Mexican industrial properties.
- Esperanza Capital Partners. We represented WestLB in connection with a loan to Esperanza Capital Partners, LLC to refinance existing indebtedness secured by the Esperanza Resort Hotel in Los Cabos. This transaction involved issues of securing the loan through a master trust arrangement and also cross-border issues involving other security located in the United States and Mexico.
- Fondo de Valores Inmobiliarios. We advised Equity International Properties Ltd. in connection with its investment in Fondo de Valores Inmobiliarios, the Venezuelan real estate company.
- Four Seasons Mexico City. We represented an affiliate of Strategic Hotel Capital Corporation in purchasing the Four Seasons Hotel in Mexico City.
- Hines. We advised the Hines Companies in the sale of a portfolio of commercial and industrial real estate properties in Mexico for $110,000,000 to G. Accion, a Mexican real estate developer.
- Homex S.A.. We advised Homex S.A., a builder of affordable housing in Mexico, on its initial public offering on the New York Stock Exchange.
- ING Clarion. We advised ING Clarion in connection with the establishment of Lion Mexico Fund.
- Leisure complex. Represented The Prudential Insurance Company of America in connection with a joint venture for the acquisition and development of land in La Paz, Baja California, Mexico for the development of a hotel, golf course and for sale housing, with aggregate acquisition and development costs of approximately $1 billion.
- Lion Mexico Fund. Represented Lion Mexico Fund in connection with various acquisitions and joint ventures involving retail, industrial, and real estate properties in Mexico.
- LMF-Frisa. We advised the Lion Mexico Fund and its co-investors in connection with the formation of LMF-Frisa Comercial, S. de R.L. de C.V., which involved the contribution, sale and/or development of six shopping centers in and around Mexico City, in a transaction valued in excess of $300 million. It was the largest real estate transaction involving shopping centers in Mexico in 2006.
- Meximae. We represented Lion Mexico Fund in connection with debt and equity investments made by Meximae, S.A. de C.V., a Mexican real estate developer.
- Mexican Retail Properties. We advised Equity International Properties, Ltd. in connection with its investment in Mexican Retail Properties, a developer and owner of Mexican retail properties.
- Mexican Industrial Properties. We advised Prudential Real Estate Investors on the establishment of a fund, and the sale of interests in the fund, holding Mexican industrial properties.
- Real Estate Investments. We advised Walton Street Real Estate Fund V L.P. regarding tax and related issues regarding various real estate investments in Mexico.
- Ridge Property Trust. We represented Ridge Property Trust in connection with joint ventures with Mexican Nationals for the acquisition, development and leasing of industrial real estate.
- ProLogis. We represented the ProLogis-Macquarie Fund in various real property acquisitions in Mexico; the construction of industrial facilities, and the lease of such facilities to various lessees. The ProLogis-Macquarie Fund acquires additional industrial facilities in Mexico from time to time.
- Verde. Representing Verde Realty MLP, a full service real estate operating company, on all aspects of their investments in industrial, residential and retail acquisitions and development, including land acquisitions for development, acquisitions of operating properties and formation of joint ventures for development with local land owners and developers in Mexico along the US border.
