 Private Equity/M&A

We regularly advise Latin American, Caribbean and US companies in connection with private equity investments, joint ventures and mergers and acquisitions. We are very familiar with the foreign investment, corporate, financing and intellectual property issues that arise in such transactions, and are accustomed to working with local counsel to find innovative, cost-effective solutions to investment objectives.  We also assist our clients in minimizing the effective worldwide tax rate of their operations throughout Latin America by careful pre-transaction structuring.

  • Abril S.A. We represented Abril S.A. in its participation in Galaxy Latin America, a television satellite joint venture with Hughes Communications Inc., the Cisneros Group and MVS Multivision.

  • Aliaxis S.A. We represented Aliaxis S.A. in a tender offer for all of the shares of Durman Esquivel, a Costa Rican company with operations in Latin America and the Caribbean.

  • BellSouth. We represented BellSouth in the sale of all of its Latin American holdings, including interests in cellular companies in Argentina, Brazil, Chile, Colombia, Ecuador, Guatemala, Nicaragua, Panama, Peru, Uruguay and Venezuela.

  • The Prudential Chile. We advised The Prudential Insurance Company of America in connection with a programmatic joint venture for the acquisition and development of land for multi-housing development throughout Chile, for a potential total equity commitment of $1 billion.

  • Embratel S.A. We represented Embratel S.A. in the sale of its interest in Intelsat Ltd., the international satellite consortium.

  • GECC-Mexico. We represented GECC-Mexico and affiliates in the formation of a series of joint ventures, in Juarez, San Luis, Huehuetoca and other cities, with Kimco Realty Trust to own and operate strip malls in Mexico anchored by major grocery/retail chains.

  • GPU Empresa Distribuidora Electrica Regional S.A. We advised Nexstar Capital Partners LLC and a group of U.S. and Argentine private equity investors in their sale of GPU Empresa Distribuidora Electrica Regional S.A. (which consists of five electricity distribution companies in the north of Argentina) to a group of investors led by JPMorgan.

We had previously advised Nexstar, CoInvest, an Argentine private equity fund, and a group of U.S. hedge funds in acquiring GPU Emdersa from JPMorgan Partners Latin America, L.P. and HSBC Tower II Equity Partners (Cayman) L.P., and in the subsequent restructuring of the debt of GPU Emdersa.

  • Grupo Bimbo.  We represented George Weston Limited, a Canadian public company, which through its operating subsidiaries is one of North America's largest food processing and distribution groups, in the sale of the United States fresh bread and baked goods business of its subsidiary Dunedin Holdings S.à r.l. to Grupo Bimbo, S.A.B. de C.V. for approximately $2.5 billion.  Grupo Bimbo is one of the world’s largest baking companies and is listed on the Mexican Stock Exchange. 

  • Grupo Colte. We represented Grupo Colte and Pegaso Television in multiple investments by Grupo Colte, Pegaso Television, TeleCapital Associates, LP and TeleCinco Gestévision S.A. into CaribeVision Holding, Inc. and CaribeVision TV Network LLC, owners and operators of a Spanish-language TV network

  • Grupo GEO. We advised Prudential Real Estate Investments on a joint venture with Grupo GEO to hold real property to be used for residential development, and on the establishment of a fund, and the sale of interests in the fund, holding the Grupo GEO joint venture interests.

  • Kaltex S.A. de C.V. We advised Kaltex S.A. de C.V. in its acquisition of all of the shares of Revman Industries from Aeon (USA).

  • Kappa Energy. We advised Kappa Energy, a leading independent Colombian upstream oil and gas company, in connection with its sale to Pacific Rubiales Energy Corp. for $168 million.

  • Mexican Industrial Properties Fund. We advised Prudential Real Estate Investors on the establishment of a fund, and the sale of interests in the fund, holding Mexican industrial properties.

  • ProLogis. We represented the ProLogis-Macquarie Fund in various real property acquisitions in Mexico; the construction of industrial facilities thereon; and the lease of such facilities to various lessees. The first acquisition occurred in March 2002. The ProLogis-Macquarie Fund acquires additional industrial facilities located in Mexico from time to time.

  • TransCanada Pipelines Ltd. We advised TransCanada Pipelines Ltd. in connection with its sale of its various pipeline interests in Argentina, Brazil and Chile.
