The Court of Final Appeal (CFA) has confirmed the Securities and Futures Commission (SFC) can obtain wide-ranging relief under section 213 of the Securities & Futures Ordinance (Cap 571) (SFO), including freezing injunctions, before and independent of any Market Misconduct Tribunal or criminal proceedings.

The Court of Final Appeal (“CFA”) handed down its long-awaited decision in Fully Profit (Asia) Limited vs. The Secretary for Justice for and on behalf of the Director of Lands (FACV 17/2012) on 13 May 2013. The appellant Fully Profit owns a site at Nam Kok Road, Kowloon City, comprising five lots held under five separate virtually identical Government Leases, each of which contains a restriction that the owner cannot erect or allow to be erected more than one house on the lot. The CFA reversed the unanimous decision of the Court of Appeal and held that a 26-storey building straddling the five lots cannot be a “house” within the meaning of the word in the Government Leases.

The next milestone date in the Commodity Futures Trading Commission’s (“CFTC’s”) phase-in of mandatory clearing occurs on June 10, 2013, when so-called “Category 2 entities” must begin clearing swaps subject to the mandate. Securitization vehicles, insurers, investment funds and non-swap dealer financial institutions will generally be Category 2 entities. The effect of the June 10 phase-in on the operations of securitization vehicles, in particular, is unclear.

The Enterprise and Regulatory Reform Act 2013 (the Act), enacted on 25 April 2013, will make changes to the process of assessing mergers, acquisitions and corporate joint ventures (“mergers”) when it comes into force in April 2014. It will not alter the turnover and share of supply thresholds that establish whether a deal qualifies for review; nor will it affect the test used to decide whether to block or clear a deal – this will continue to depend on whether the deal concerned will result in a substantial lessening of competition in any market.
