Meaghan Connors represents administrative agents, lenders, and borrowers in connection with various types of financings. Her experience includes secured and unsecured commercial transactions such as credit facilities (syndications, club deals, and single lender facilities) for working capital, asset-based financings, acquisitions, refinancings, high-yield debt offerings, debtor-in-possession financings, and other types of debt financings. Meaghan has a particular emphasis on the energy-related industries (hard rock mining and oil and gas pipeline). Meaghan also has extensive experience in cross border financings with complicated collateral arrangements.

Meaghan also frequently represents Canadian and Latin American financial institutions with both US and international matters in bank financings.

Erfahrung

  • Represented Mitsubishi on its US$1.4 billion “Copper World" joint venture with Hudbay Minerals, which will establish one of the highest-grade primary copper production sources in the US.
  • Represented Mesabi Metallics Company in connection with a $520 million senior secured credit facility provided by Breakwall Capital to fund the completion of the company's Direct Reduction (DR) grade iron ore mine and pellet plant.
  • Represented Ironclad Royalties in connection with a $150 million bridge loan provided by Macquarie Bank Limited, to fund the completion of Mesabi Metallics' Direct Reduction (DR) grade iron ore mine and pellet plant.
  • Represented National Bank of Canada, in connection with a gold prepayment facility for up to $250 million for i-80 Gold Corp., the proceeds of which were used to fund the company's recapitalization and establish a fully funded development plan.
  • Assisted Central Asia Metals Plc (CAML) as UK and US legal adviser in its bid for acquisition of New World Resources Limited for approximately A$185 million, by way of an Australian Court arrangement, to acquire a 100% interest in the Antler Project, a high-grade copper deposit located in Arizona in the United States. CAML is a UK incorporated base metals producer with operations in Europe and Asia.
  • Represented Mesabi Metallics on the close of its US$100 million bridge loan for the construction and development of an iron ore project.
  • Represented National Bank of Canada in the US$33 million gold prepayment facility for i-80 Gold Corp., a Nevada mining operation. This prepaid forward arrangement was secured by i-80’s future transactions of gold and their mining property in Nevada.
  • Represented a Chilean copper company on its approximately US$500 million financing for the repayment of its project finance facility extended to them in connection with the construction and development of their copper mining facility.
