Experience 

  • Represented clients in a wide range of matters in the commercial and corporate context. His assignments have included financing transactions, non-performing loan disposals and corporate restructuring
  • Has provided advice in large scale restructurings or insolvencies such as Asia Pulp and Paper, the Benpres Group, Forefront International Limited and the Moulin Group all of which are multi-jurisdictional transactions
  • Placed into the Shanghai office for three years during which time he was involved with a number of substantial property acquisition and financing transactions

Notable Engagements 
Restructuring

Bio-Treat Technology Limited ("Bio-Treat")

  • Advised committee of bondholders in relation to default obligations owed by Bio-Treat to them
  • Negotiated restructure of Bio-Treat bonds and settlement of issues in dispute between Bio-Treat and bondholders arising from Bio-Treat default
 - 3D-GOLD Group
  • Advising the provisional liquidators on all matters arising in the administration of Hong Kong listed company 3D-Gold Jewellery Holdings Limited and its subsidiaries
  • Advised provisional liquidators on their tender process to find an investor and in documenting the deal through a number of schemes of arrangement in Hong Kong and Bermuda 
  • The deal structure is unique in that it provides for bifurcated completion alternatives which we understand has not been seen by the Hong Kong SFC and in which the Hong Kong Court took considerable interest at the hearing to convene creditors' meetings
- U-Right Group
  • Advised the provisional liquidators on all matters arising in the administration of Hong Kong listed company U Right International Holdings Limited and Uni-Capital Limited, one of its subsidiaries and the U-Right group of companies
Distressed Acquisition

Asia Aluminum Holdings Group ("AA")
  • Advised successful bidder in purchase of core business of Asia Aluminum
  • Advised on:
    • overcoming negative creditor sentiment surrounding appointment of provisional liquidators to AA in March 2009
    • obtaining PRC support and approvals
    • ring-fencing target companies and transfer in key assets
    • renegotiating key banking relationships
    • obtaining court sanction (Bermuda, Hong Kong and Samoa) for implementation of transaction
NPL Disposal
  • Bank of China (Hong Kong) Limited (BOCHK) - the lead partner for the divestment by BOCHK of a US$2 billion portfolio of non-performing loans. This deal was named "Distressed Asset Deal of the Year" by the International Financial Law Review in 2003.
Administration
  • C L Schmitt - acted for the administrator of Charles Schmitt (appointed by the SFC under the SFO) in respect of tracing, collection and preservation of US$200 million of misappropriated assets.
Real Estate
  • No. 1 Financial Street Beijing - advised a consortium of investors of No. 1 Financial Street Beijing including an investment of US$150 million.
