• Provision of advice to clients on the incorporation mechanism of Thai and foreign owned legal entities in Thailand, on the acquisition of land and condominium units in Thailand, on the working of expatriates in Thailand and on the privileges from the Board of Investment

Notable Engagements 

• TPI - Assisting a Planner to set up its entity in Thailand, assisting Committee of Creditors in implementing reorganisation plan in regard to debt-to-equity swap, pledge of listed shares held by it, and the revocation of the pledge to transfer for repayment of debt under the plan.
• TWC - Assisting financial creditors of TWC to enforce pledge of listed shares held by it, provision of advice regarding fiduciary duty of directors of listed companies, the compliance of good corporate governance of the listed companies and issues in regard to the foreign business operation.
• Smorgon - Assisting Australian and Singaporean clients to acquire shares in a scrap processing business in Thailand from a company listed on the Stock Exchange of Thailand and under the Reorganisation Plan, and provision of post-closing and on-going transactions to operate the acquired company in various matters for clients.
• PTT - Advising and assisting PTT in regard to some acquisition and disposal of shares in other companies, provision of advice and assisting a number of its subsidiaries for day-to-day operation, provision of presentations in various legal issues to PTT.
• Limetree Capital - Provision of advice in regard to foreign business operation in Thailand, assisting them to joint venture with its Thai strategic partners to purchase property and to acquire shares in companies in Thailand.
• Morgan Stanley and Lehman Brothers - Advising and providing advice to them in regard to the offer and sale of Fund’s Interests to Institutional Investors in Thailand and exchange control regulations.
• HSBC - Advising and assisting them to apply for various Executive Share Option Plans with the Securities and Exchange Commission and Bank of Thailand and other general banking business activities.
